Continuity of Service

      The Cooperative shall use reasonable diligence to provide a constant and uninterrupted

      supply of electric power and energy hereunder.  If the supply of electric power and

      energy shall fail or be interrupted, or become defective through act of God, Governmental

      Authority, action of the elements, public enemy, accident, strikes, labor trouble, required

      maintenance work, inability to secure right of way, or any other cause beyond the

      reasonable control of the Cooperative, the Cooperative shall not be liable therefore or

      for damages caused thereby.

Minimum Monthly Charge

      The minimum monthly charge shall be $29.00 plus tax and the prevailing wholesale power cost adjustment.

Wholesale Power Cost Adjustment

      In accordance with Schedule WPCA-05.

Terms of Payment

      The above rates are net, gross being six (6) percent higher, and are due and payable by the net

      due date of the month, or the gross shall be due.

Other Terms and Conditions

      All electric service is rendered under and subject to the Cooperative's established rules and regulations.

Wholesale Power Cost Adjustment:

      In accordance with schedule WPCA-04

Determination of Billing Demand:

      The billing demand shall be the greater of:

          A.  The highest non-coincident 15-minute Kw demand established during the month for

                which the bill is rendered as indicated or recorded by a demand meter and adjusted

                for power as provided below, or

          B.  Seventy percent (70%) of the highest billing demand established during the most 

                recent revenue months of December through March.

Wholesale Power Factor:

      The consumer agrees to maintain unity power factor as nearly as practical.  The demand charge may be adjusted for consumers with 50 Kw or more of measured demand to correct for average power factors lower than ninety percent (90%), and may be so adjusted for other consumers if and when the Cooperative deems necessary.  Such adjustment will be made by increasing the measured demand one percent (1%) for each one (1%) by which the average power factor is less than ninety percent (90%) lagging.

Minimum Monthly Charge:

      The minimum monthly charge shall be the highest one of the following charges:

      1.   The minimum monthly charge specified in the contract for service.

      2.   The billing demand, but not less than $52.50.

      3.   A charge of $52.50.

Delivery at Primary Voltage:

      Teriff, terms and conditions to be as negotiated.
